Terms of Service

1. Acceptance of Terms

By accessing toncrm.io ("the Platform"), operated by 17297394 Canada Inc., you agree to be bound by these terms of service. If you do not accept these terms, please do not use the Platform.

2. Description of Service

toncrm.io is an all-in-one CRM platform offering: contact management, sales pipeline, invoicing with Canadian taxes (GST/QST), electronic signatures, messaging (SMS, email), automated workflows, AI voice assistant, and an AI operational assistant ("The Oracle").

Preview features: some features may be offered in preview (beta). They are provided as is, may change or be withdrawn without notice, and may be excluded from availability commitments.

3. Registration, Account and Eligibility

You must provide accurate information during registration. You are responsible for the confidentiality of your login credentials. All activity on your account is your responsibility.

The service is intended for businesses (B2B). A user must be at least 14 years old; consent for a minor under 14 rests with the holder of parental authority, in accordance with Quebec law.

4. Pricing, Payment and Refunds

Prices are displayed in Canadian dollars (CAD) on the pricing page. Card payments are processed by Stripe (PCI-DSS certified); toncrm.io never stores any card number. Subscriptions auto-renew. You may cancel at any time from your dashboard.

4.1 Usage Fees

Certain volumes (SMS, MMS, voice minutes, AI features, enrichments, etc.) are billed based on usage according to the current rate schedule displayed in the application. The schedule may evolve; any change is communicated with reasonable notice.

4.2 Taxes

Prices are shown before taxes: applicable taxes (GST/QST/HST) are added based on your province. Taxes calculated by the Platform on your own invoices and quotes are provided for guidance only: you remain responsible for your tax rates, registrations, and remittances.

4.3 Price Changes

Any increase to a subscription price is communicated at least 30 days in advance and takes effect at the next renewal. If you do not accept the increase, you may cancel before renewal.

4.4 Payment Default

If a payment fails, reminders are sent and the charge is retried. If payment still fails, access may be suspended or the account downgraded to the free plan. Your data is retained according to the retention policy and you may export it.

4.5 Refunds

Any paid subscription is refunded in full, upon request and without justification, within the first 14 days of the paid subscription. Beyond that period, refund requests are assessed on a case-by-case basis. Contact support@toncrm.io.

5. Acceptable Use

You agree not to:

• Use the Platform for illegal purposes
• Send unsolicited content (spam) through our messaging services
• Attempt to compromise the security of the Platform
• Bulk-extract data (scraping) or abuse the APIs beyond reasonable usage limits
• Resell access to the Platform outside the official partner program (white-label use is permitted within the limits of your plan)
• Violate third-party intellectual property rights

5.1 White-Label

The Platform may be used under your own brand (custom domain, branding, client portals) within the limits of your plan. In that case, you remain solely responsible toward your own clients: billing, compliance with applicable laws, representations, and handling their requests (access, rectification, deletion, incidents). toncrm.io remains the platform provider and data processor within the meaning of the Data Processing Agreement (DPA). You agree to publish your own privacy policy and your own terms on the surfaces presented under your brand. The toncrm.io trademarks, software, and code may not be presented as your property. Reselling access outside the partner program remains prohibited (see the list above).

6. Data Ownership and Intellectual Property

You retain ownership of all data you enter into toncrm.io. We claim no ownership rights over your data. You may export your data at any time.

The toncrm.io software, its code, design, and trademarks remain the property of 17297394 Canada Inc. We grant you a limited, non-exclusive, non-transferable license to use the software for the duration of your subscription. Content generated by AI agents on your behalf (text, summaries, messages) belongs to you, without any warranty of originality or exclusivity.

7. Service Availability

We strive to maintain 99.9% Platform availability. We do not guarantee uninterrupted operation and will not be held liable for temporary interruptions due to maintenance or updates.

8. Warranties and Disclaimers

The Platform is provided "as is" and "as available", to the extent permitted by applicable law. We do not warrant that the service will be error-free or that it will meet all of your specific needs. This disclaimer does not limit warranties that cannot be excluded under the laws of Quebec.

9. Limitation of Liability

To the fullest extent permitted by law, toncrm.io shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use the Platform.

toncrm.io's total aggregate liability, for all causes combined, is limited to the amounts you paid us in the 12 months preceding the event giving rise to the claim. This limit does not apply to bodily injury or to damages resulting from gross negligence or intentional fault.

10. Indemnification

You agree to indemnify and hold harmless 17297394 Canada Inc. from any claim, fine, or penalty arising from: (a) your improper use of the communication features (SMS, email, voice), including sending messages without valid consent; (b) content you distribute through the Platform; (c) your violations of applicable laws, including Canada's Anti-Spam Legislation (CASL) and the U.S. TCPA. Fines resulting from your usage are your responsibility.

11. Termination

You may cancel your account at any time. We reserve the right to suspend or terminate your access if you violate these terms. Upon termination, your data is retained for 30 days (recovery period) then permanently deleted, unless otherwise required by law (for example, accounting records).

12. Electronic Communications (SMS and Email)

By using toncrm.io's SMS and email messaging features, you agree to:

• Obtain valid consent from your contacts before sending commercial messages, in compliance with Canada's Anti-Spam Legislation (CASL, S.C. 2010, c. 23) and, where applicable, the U.S. Telephone Consumer Protection Act (TCPA).
• Include a functional unsubscribe mechanism in every commercial message sent.
• Process unsubscribe requests within a maximum of 10 business days.
• Not send messages to contacts who have revoked their consent.
• Comply with applicable privacy laws, including Quebec's Law 25.
• For commercial calls and voice messages: comply with the CRTC Unsolicited Telecommunications Rules, including the National Do Not Call List (DNCL), permitted calling hours and, where applicable, the U.S. TCPA rules on artificial or prerecorded voices.

toncrm.io provides consent management tools (tracking, automatic unsubscribe, audit log), but the client remains solely responsible for obtaining and managing consent from their contacts. toncrm.io reserves the right to suspend or terminate access to messaging features in cases of spam, repeated complaints, or violation of applicable laws.

13. A2P 10DLC Compliance (US Carriers SMS Program)

Sending business text messages (SMS) to US phone numbers requires A2P 10DLC registration with The Campaign Registry (TCR) and US mobile carriers (AT&T, Verizon, T-Mobile, US Cellular). toncrm.io is registered as an Independent Software Vendor (ISV) with Twilio and facilitates this registration for its customers. You agree to:

• Complete A2P registration before sending SMS through toncrm.io.
• Provide accurate and up-to-date information for registration (legal name, business number, address, etc.).
• Accept that toncrm.io will submit this information to carriers through Twilio for processing.
• Comply with the use cases declared during registration (notifications, reminders, occasional promotions, etc.).
• Not send any regulated content prohibited by carriers: gambling, alcohol, cannabis, high-interest loans, adult content, firearms, or any other content listed in SHAFT carrier guidelines.

Without approved A2P registration, SMS may be filtered or blocked by carriers. toncrm.io cannot guarantee message deliverability for unregistered accounts.

13.1 SMS-specific commitments (CTIA / carrier compliance)

By activating the toncrm.io SMS program, you agree to the following commitments compliant with the CTIA Short Code Monitoring Handbook and AT&T / Verizon / T-Mobile carrier requirements:

• No sharing of opt-in data with third parties: Mobile phone numbers and SMS consent data collected by you through toncrm.io are NEVER shared, sold, rented, or disclosed to third parties for marketing or promotional purposes. This clause applies to both toncrm.io and the customer.
• Mandatory opt-in consent: Each recipient must have given explicit consent (checkbox on web form, in-person sign-up, verbal opt-in during a call, etc.) before any SMS is sent. Consent is tracked in toncrm.io's immutable audit log.
• Mandatory opt-out keywords: Recipients can reply «STOP», «CANCEL», «UNSUBSCRIBE», «END», or «QUIT» at any time to immediately unsubscribe. Reply STOP to unsubscribe.
• Help keywords: Recipients can reply «HELP» or «INFO» to receive contact and assistance information.
• Message frequency: Send frequency varies based on each customer's usage. You agree not to send abusive or unsolicited repetitive SMS.
• Message and data rates: Message and data rates may apply based on the recipient's mobile plan. toncrm.io and its customers never directly bill recipients for received SMS.
• Sender identification: Each message clearly identifies the sending business (the toncrm.io customer's business name, not toncrm.io itself).
• Access to opt-in data: Only the operator of the toncrm.io account that collected the consent has access to the opt-in numbers. toncrm.io stores this data in an organization-segmented database hosted at Hetzner Cloud (European Union). A privacy impact assessment (PIA) was completed on July 3, 2026 for communications outside Quebec.
• Allowed SMS categories: appointment notifications, reminders (payments, follow-ups), transaction confirmations, occasional promotions, satisfaction surveys.

14. Artificial Intelligence Services (The Oracle)

toncrm.io offers an AI assistant ("The Oracle") integrated into the Platform. By using The Oracle, you agree to the following:

14.1 Nature of the Service

The Oracle is an AI-powered operational assistance tool. It does NOT provide legal, financial, tax, or professional advice. Business decisions remain entirely yours. toncrm.io shall not be liable for business decisions made based on its analyses or recommendations, and does not guarantee their accuracy.

14.2 Automated Actions (Agentic Mode)

By default, The Oracle can create, modify, and archive records in your account (contacts, tasks, deals, notes) and send individual messages (SMS, email) on your behalf. Any monetary action (invoicing, payments) and any bulk send require your confirmation. Deletions go through the trash and are recoverable for 30 days. Agentic mode can be disabled at any time in the settings.

14.3 Voice Data

Calls handled by the virtual assistant may be recorded and transcribed; an announcement is made at the start of the call. Recordings and transcripts are retained in your account and subject to the privacy policy.

14.4 Employee Access

If you allow your employees to interact with The Oracle, their actions are limited to their own assigned tasks and contacts. Employees do not have access to financial data, management notes, or other employees' information.

14.5 Billing

The Oracle is billed based on usage, according to the rates in effect displayed in the application (AI Usage section of your settings). A configurable budget lets you control costs and prevents unexpected overages.

14.6 Aggregated Data (Optional)

If you choose to participate in the referral network or price estimator, your submissions will be anonymized before being aggregated. No competitor will see your specific pricing. You may opt out at any time.

14.7 Deactivation

You may deactivate The Oracle at any time from your settings. Deactivation takes effect immediately. Your Oracle conversation data remains in your account and follows the retention schedule of the privacy policy.

15. AI Agents and Obligations Toward Your Own Customers

If you activate an AI voice agent (receptionist or assistant), you are responsible for informing your own customers of the use of an AI agent and of call recording, in accordance with applicable laws. A recording announcement is played at the start of each call; you agree not to circumvent it.

16. Electronic Signature

toncrm.io provides a simple electronic signature with an audit trail: timestamp, IP address, and digital fingerprint of the document. The signature certificate documents the signing process. It is your responsibility to verify that this type of signature is suitable for your documents; certain acts require specific formalities under the law. Signed documents follow the retention schedule when the account is closed: export them before the end of the contract if you must retain them (often several years depending on the nature of the act).

17. Governing Law

These terms are governed by the laws of Quebec and applicable Canadian federal laws. Any dispute shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Montreal.

18. General Provisions

• Force majeure: neither party is liable for a failure caused by an event beyond its reasonable control.
• Assignment: you may not assign your rights without our consent; we may assign ours in the context of a reorganization or sale of the business.
• Entire agreement: these terms, together with the privacy policy, constitute the entire agreement between the parties.
• Severability: if a clause is held invalid, the others remain in force.
• Survival: the intellectual property, limitation of liability, and indemnification clauses survive termination.
• Language: in case of discrepancy between the French and English versions, the French version prevails.

19. Changes

We reserve the right to modify these terms. Significant changes will be communicated by email at least 30 days before taking effect.
