Terms of Service

1. Acceptance of Terms

By accessing TonCRM ("the Platform"), you agree to be bound by these terms of service. If you do not accept these terms, please do not use the Platform.

2. Description of Service

TonCRM is an all-in-one CRM platform offering: contact management, sales pipeline, invoicing with Canadian taxes (GST/QST), electronic signatures, messaging (SMS, email), automated workflows, and AI voice assistant.

3. Registration and Account

You must provide accurate information during registration. You are responsible for the confidentiality of your login credentials. All activity on your account is your responsibility.

4. Pricing and Payment

Prices are displayed in Canadian dollars (CAD) on the pricing page. Payments are processed by Stripe. Subscriptions auto-renew. You may cancel at any time from your dashboard.

Refunds are handled on a case-by-case basis. Contact support@toncrm.io for any requests.

5. Acceptable Use

You agree not to:

  • Use the Platform for illegal purposes
  • Send unsolicited content (spam) through our messaging services
  • Attempt to compromise the security of the Platform
  • Resell access to the Platform without authorization
  • Violate third-party intellectual property rights

6. Data Ownership

You retain ownership of all data you enter into TonCRM. We claim no ownership rights over your data. You may export your data at any time.

7. Service Availability

We strive to maintain 99.9% Platform availability. We do not guarantee uninterrupted operation and will not be held liable for temporary interruptions due to maintenance or updates.

8. Limitation of Liability

To the fullest extent permitted by law, TonCRM shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use the Platform.

9. Termination

You may cancel your account at any time. We reserve the right to suspend or terminate your access if you violate these terms. Upon termination, your data will be retained for 90 days then deleted.

10. Electronic Communications (SMS and Email)

By using TonCRM's SMS and email messaging features, you agree to:

  • Obtain valid consent from your contacts before sending commercial messages, in compliance with Canada's Anti-Spam Legislation (CASL, S.C. 2010, c. 23) and, where applicable, the U.S. Telephone Consumer Protection Act (TCPA).
  • Include a functional unsubscribe mechanism in every commercial message sent.
  • Process unsubscribe requests within a maximum of 10 business days.
  • Not send messages to contacts who have revoked their consent.
  • Comply with applicable privacy laws, including Quebec's Law 25.

TonCRM provides consent management tools (tracking, automatic unsubscribe, audit log), but the client remains solely responsible for obtaining and managing consent from their contacts. TonCRM reserves the right to suspend or terminate access to messaging features in cases of spam, repeated complaints, or violation of applicable laws.

11. A2P 10DLC Compliance

Sending business text messages (SMS) requires A2P (Application-to-Person) registration with carriers. You agree to:

  • Complete A2P registration before sending SMS through TonCRM.
  • Provide accurate and up-to-date information for registration (legal name, business number, address, etc.).
  • Accept that TonCRM will submit this information to carriers through Twilio for processing.
  • Comply with the use cases declared during registration.

Without approved A2P registration, SMS may be filtered or blocked by carriers. TonCRM cannot guarantee message deliverability for unregistered accounts.

12. Governing Law

These terms are governed by the laws of Quebec and applicable Canadian federal laws. Any dispute shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Montreal.

13. Changes

We reserve the right to modify these terms. Significant changes will be communicated by email at least 30 days before taking effect.

14. The Oracle — Specific Terms

14.1 Nature of the Service

The Oracle is an AI-powered decision-support tool. It does not constitute professional advice (accounting, legal, financial, or other). TonCRM disclaims all liability for business decisions made based on its recommendations.

14.2 Data and Confidentiality

Your data is securely hosted and isolated by organization. No data is shared with third parties without your explicit consent. Voice conversations are transcribed to text and the audio is deleted immediately. Only transcriptions are retained to improve the service.

14.3 Aggregated Data (Optional)

If you choose to participate in the referral network or price estimator, your submissions will be anonymized before being aggregated. No competitor will see your specific pricing. You may opt out at any time.

14.4 Billing

The Oracle is billed monthly: a fixed fee of $300/month plus usage-based consumption. Usage is detailed in the AI Usage section of your settings. A configurable daily budget prevents unexpected overages.

14.5 Availability

TonCRM strives to maintain The Oracle available 24/7. In the event of an outage, no compensation is due unless you have subscribed to the Zero Downtime guarantee.

14.6 Termination

You may deactivate The Oracle at any time from your settings. Deactivation takes effect immediately. Your Oracle conversation data is retained for 90 days after deactivation, then deleted.
